The agreement that governs every workspace on Breakdayz.

Plain-language commitments between Breakdayz and the organisations that run their people operations on our platform.

Acceptance of these terms

These Terms of Service form a binding contract between Breakdayz and the organisation that creates a workspace (“Customer”). By registering, inviting users, or uploading content, the Customer and its authorised users accept this document in full. If you do not agree, do not use the platform.

Where an individual user accesses a workspace created by their employer, the employer has accepted these Terms on behalf of the workspace; individual conduct rules below still apply to that user.

Accounts & authentication

A Breakdayz account is created by registering with a work email address, completing OTP verification, and choosing or joining a workspace. You must keep credentials confidential, use a unique password of reasonable strength, and immediately report any suspected compromise to your workspace administrator.

You are responsible for all activity under your account. Breakdayz may suspend a session that fails successive authentication checks or appears to originate from a signifcantly different device fingerprint.

Permitted use

You may use Breakdayz for legitimate human-resources and team-operations workflows, including:

  • Recording attendance, leave, and time-off for employees of the workspace.
  • Managing employee directories, designations, reporting lines, and shift policies.
  • Running company-wide announcements, policy distribution, and internal knowledge content.
  • Coordinating projects, inbox requests, and approval workflows.

You may not use the platform to store content you do not have the right to store, to target other users with unlawful surveillance, to circumvent the permission system, or to resell any part of the service to third parties.

Prohibited conduct

Specifically, you must not:

  • Reverse engineer the product, attempt to extract source code, or scrape the API outside documented rate limits.
  • Upload malware, phishing material, or content that infringes intellectual property.
  • Use automated tooling to forge attendance punches, leave records, or approval outcomes.
  • Share workspace-scoped access tokens, cookies, or session identifiers with individuals outside the workspace.
  • Access another workspace’s data without explicit authorisation.

Breakdayz may suspend accounts or entire workspaces that breach these rules; for repeated or severe violations, termination will follow the notice described in the Termination section.

Activity monitoring

To support attendance verification and workplace productivity, Breakdayz includes features that allow workspaces to capture periodic screen screenshots of authorised users during active sessions.

By using the attendance module, you acknowledge and consent to such monitoring as configured by your workspace administrator. Customer (the employer) is responsible for ensuring such monitoring complies with local labour laws and providing any necessary internal notices to employees.

Customer data ownership

Customer owns all data uploaded to or generated within its workspace. Breakdayz receives a limited, non-exclusive licence to host, process, transmit, back up, and display that data strictly to operate the service on the Customer’s behalf.

On written request, Breakdayz will export the Customer’s workspace data in a machine-readable format and, subject to retention obligations described in the Privacy Policy, delete it.

Service levels & availability

The platform targets a monthly uptime of 99.9%, measured outside scheduled maintenance windows announced at least 48 hours in advance. Real-time features (such as socket notifications) are best-effort and may degrade gracefully during partial outages.

Specific enterprise SLAs, where contracted separately, override the defaults above.

Fees, renewal & refunds

Workspace subscriptions are billed per active employee, in advance, on the plan selected during registration. Plans renew automatically at the end of each term unless cancelled from the workspace settings at least seven days before renewal.

Customers are responsible for the accuracy of bank information and payroll data provided to the platform. Breakdayz is not liable for failed transfers or statutory penalties resulting from incorrect data entry.

Pro-rated refunds are issued only where a workspace is terminated by Breakdayz without cause. Fees already paid are otherwise non-refundable.

Third-party services

Breakdayz integrates with a small set of third-party providers listed in the Privacy Policy (cloud hosting, email delivery, image CDN, Google Sign-In). Those providers have independent terms; by using a feature that involves them, you agree to their applicable terms in addition to ours.

Warranties & disclaimers

The service is provided on an “as available” basis. Beyond warranties that cannot be excluded by law, Breakdayz disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Reports, payroll inputs, and analytics are informational — they must not substitute for statutory record-keeping or professional legal/tax advice. Customers must independently verify all data before use in certified filings.

Limitation of liability

To the maximum extent permitted by law, Breakdayz’s aggregate liability under these Terms is limited to the fees paid by the Customer in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages.

Termination

Either party may terminate an uncontracted workspace with thirty days’ written notice. Breakdayz may terminate immediately for material breach that is not cured within fifteen days of notice, or without notice for unlawful use.

On termination, access is revoked at the effective date and data is handled per the Privacy Policy’s retention schedule.

Governing law & disputes

These Terms are governed by the laws of the jurisdiction stated in the Customer’s master order form, or, in the absence of one, the laws of India. Disputes not resolved through good-faith negotiation will be heard in the exclusive jurisdiction of the courts of that forum.

Changes to these terms

Material changes to these Terms will be communicated in-product and by email to workspace owners at least fourteen days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
